Creating a transfer shares transaction

A share transfer is an equity event where shares move from one stakeholder to another without creating or deleting shares.

A transfer transaction is different from issuing new shares; it simply reallocates existing shares between owners.

Common reasons for share transfers include:

  • A founder selling shares to a new investor

  • An employee transferring shares after leaving the company

  • Private secondary sales

  • Moving shares between personal holding companies

In Unlisted, transfers are recorded through the transfer shares transaction type.

You access this feature from the “Transactions” page in the left-hand menu.


Starting a transfer shares transaction

  1. Go to the transactions page.

  2. Click “Add transaction” in the top right corner.

  3. From the list of transaction categories, choose Transfer shares.

This will open a side panel where you can enter all the required details to complete the transfer.


How to create a transfer shares transaction

General information

Inside the side panel, begin by entering:

  • Transaction date → the date on which the transfer took place

  • Event type → automatically set but can be changed if needed (Find more info about event type here)

  • Description → short explanation of why the transfer happened

This description helps future reviewers understand the context of the transfer.

Define the seller

Next, identify who is selling the shares.

  • You need to select an existing stakeholder

Then enter:

  • Number of shares being sold

  • Purchase price per share (the cost the buyer pays)

Unlisted automatically calculates the transaction total for reference. The number of shares available depends on the transaction date and the selected share class (hence, it might differ from the number in the current cap table).

Define the buyer

Then choose the stakeholder who will receive the shares.

Again, you may:

  • Select an existing stakeholder

  • Or create a new one (e.g., a new investor or holding company)

This completes the transfer flow from seller to buyer.

Add documents

You can upload any supporting documents, such as:

  • Share purchase agreements

  • Board approvals

  • Payment confirmations

These documents help maintain a complete and compliant audit trail.

Add additional transfers (Optional)

If multiple transfers are part of the same event (e.g., several sellers and buyers inside one restructuring), you can click “Add another transaction.”

This allows you to group them under one event for clarity and easier management.

Finalize the Transfer

When everything is ready, click “Add transaction.”

A confirmation pop-up will appear; validate it.

The transfer will now appear on your transactions page, chronologically with all other equity events.
