Manage the company settings section

The company settings section centralizes all the configuration options that control how your company information, cap table calculations, billing, bank details, incentive valuations, and portfolio display preferences work in Unlisted.

The company settings ensure your workspace reflects your legal structure, internal policies, and financial rules accurately.

You’ll find the company settings at the bottom of the left-hand menu.


What you can do in company settings

In this section, you can manage:

  • Company details

  • Cap table calculation settings

  • Plan & billing

  • Bank details

  • Incentive agreement settings

  • Portfolio settings

Let’s explore each part:


Company Details

When you open the company settings, you land on the company details page.
Here, you can add or edit all the essential information about your company, including:

  • Company name

  • Address

  • Logo

  • Number of employees

  • Organisation number

  • Currency

  • Founded date

This information helps keep your workspace accurate and ensures alignment with official documentation.


Cap table settings

At the top of the page, switch to the “Cap table” tab.

Here you define how the fully diluted cap table is calculated:

Include or exclude unissued shares

  • Decide if unissued shares (such as unused pool shares) should be included in the fully diluted calculation.

  • This impacts ownership percentages and dilution projections.

Choose how loan interest is calculated

Select how interest on convertibles should behave:

  • On loan maturity date → interest accumulates until maturity

  • No interest → interest is not applied

  • On date → interest is calculated up to a specific date

These rules influence financial instrument value and future share conversion outcomes.


Plan & Billing

Switch to “Plan & billing” at the top of the page.

Here you can manage your subscription:

  • Upgrade your plan

  • Cancel your subscription

  • Update the number of stakeholders with incentive agreements

Updating the number of stakeholders under incentive plans automatically adjusts the amount of your subscription.


Bank details

At the top of the page, switch to the “Bank details” tab.

Here you can enter or update your company’s bank information.
Correct bank details are essential for:

  • Stock option exercises

  • Payments related to equity transactions

  • Generating compliant agreements

  • Accurate financial reporting


Incentive Agreement Settings

At the top of the page, switch to Incentive agreements” tab.

This page defines how the valuation of incentive agreements (options, RSAs, warrants, convertibles, etc.) should be calculated.

You can choose between two calculation methods:

Actual ownership

  • Value is calculated using only issued shares (no future dilution).

Fully diluted ownership

Value is calculated using all potential future shares, including:

  • Unissued shares

  • Stock options

  • Warrants

  • Loans and notes

  • Unused equity pools

  • Plus issued shares

When choosing fully diluted ownership, you also have extra toggles:

  • Include unused authorized shares from pools

  • Add monetary value of financial instruments to company valuation

Based on your selections, the system automatically calculates a share price aligned with the chosen method.


Portfolio Settings

Finally, you can switch to “Portfolio settings.”

This section determines how the share price is shown to stakeholders in their portfolios.

You can choose:

  • Whether to base the share price on actual ownership or fully diluted ownership

  • If using fully diluted, whether to:

    • Include unused shares

    • Include the value of financial instruments

This ensures each stakeholder sees a view consistent with your company’s valuation policy.


Don’t forget to save

Whenever you make changes in any tab, always click “Save” to apply the updates.
Unsaved changes will be lost if you navigate away.
